Dissolution and winding up

If the society is dissolved, the Constitution specifies how assets and obligations are handled. This is governed by the Incorporated Societies Act 2022.

Grounds for dissolution

  • Members vote to dissolve (special resolution)
  • Society is deregistered by the Societies Register (e.g. for non-compliance)
  • Court order

Winding up process

  • Committee or appointed liquidator settles all debts and obligations
  • Final financial statements prepared
  • Deregistration filed with Societies Register
  • Remaining assets distributed per Constitution
  • Records archived and/or destroyed per legal requirements

Asset distribution

The Constitution specifies how remaining assets are distributed (typically to a similar charitable or policy-focused organisation). This must be a not-for-profit body aligned with BPNZ's purpose.
